As part of Affinity’s Registered Agent and Corporate Record Maintenance Program, we want to make you aware of an organization called CORPORATE RECORDS SERVICE that is targeting corporations registered with the Missouri Secretary of State, by sending out an official looking notice titled “2013 –Annual Minutes Form” which states that it is time to complete and file the corporation’s annual minutes with the Secretary of State. The notice includes a response deadline, along with instructions for completion, and requests payment in the amount of $125.00.
PLEASE NOTE THAT THIS IS A SCAM THAT IS BEING INVESTIGATED BY THE MISSOURI ATTORNEY GENERAL AND THE MISSOURI SECRETARY OF STATE. YOU ARE NOT REQUIRED TO RESPOND TO THIS NOTICE.

Secretary of State Jason Kander is today alerting Missouri corporations to a potentially deceptive letter from an entity called Corporate Records Service. The solicitation, called “Annual Minutes Records Form,” falsely suggests Missouri businesses must complete the form and pay a $125 fee, or risk being in non-compliance with state law.
Although the solicitation looks official, please note it is NOT from the Missouri Secretary of State’s Office. Annual minutes are NOT required to be filed with this office. Any official correspondence from the Secretary of State’s Office will contain the Missouri state seal and Corporations Division contact information.
“Missourians should be aware of this situation so they are not taken advantage of when trying to file with our office. We are working to stop this company from misleading Missouri business owners,” Kander said.
